1. Introduction

These Terms and Conditions govern your use of the GSD Technology website and the provision of our services. By accessing our website or engaging with our services, you agree to be bound by these terms.

GSD Technology operates with a commitment to transparency, accountability, and long-term performance. These terms are designed to reflect that approach and to meet all applicable requirements under South African law, including the Consumer Protection Act (CPA) No. 68 of 2008 and common law contract principles.

2. Scope of Services

GSD Technology provides solar energy solutions, including system design, supply, installation, commissioning, maintenance, and system rehabilitation.

All services are delivered based on agreed project specifications, technical requirements, and formal quotations provided to the client.

3. Quotations and Agreements

All quotations issued by GSD Technology are based on the information available at the time of assessment.

  • Quotations are valid for a specified period as indicated.
  • Final pricing may be subject to site conditions, design changes, or client requirements.
  • A formal agreement or acceptance of quotation is required before work commences.

Any variations to the agreed scope will be documented and approved prior to implementation.

4. Client Responsibilities

To ensure effective project delivery, clients are responsible for:

  • Providing accurate and complete project information.
  • Granting site access as required.
  • Ensuring necessary approvals, permissions, or compliance requirements are in place where applicable.
  • Maintaining clear communication throughout the project lifecycle.

Delays or additional costs resulting from incomplete or inaccurate information may affect project timelines and outcomes.

5. Installation and Performance

GSD Technology delivers systems designed in accordance with industry standards, engineering best practices, and applicable regulations, including SANS standards and NERSA requirements for grid-connected systems.

GSD Technology will provide a Performance Certificate detailing the expected annual energy output (kWh) for each installation. If system output falls below 90% of the projected figure due to GSD Technology’s design or installation error, GSD Technology shall investigate and remedy the issue at no cost to the client. Variances attributable to factors outside GSD Technology’s control are excluded, including:

  • Weather conditions and solar irradiance.
  • Site-specific constraints not disclosed at design stage.
  • Grid availability and external infrastructure constraints.

6. System Rehabilitation and Existing Installations

Where GSD Technology is engaged to assess or rehabilitate existing systems, recommendations are based on technical findings at the time of inspection.

  • Pre-existing faults or concealed issues may affect outcomes.
  • Additional work may be required beyond the initial scope.
  • All findings and recommendations will be communicated transparently.

Our role is to restore systems to reliable operational performance wherever technically feasible.

7. Payment Terms

Payment terms will be outlined in the official quotation or agreement. The following provisions apply to all engagements:

  • Payment is due within 30 days of invoice date, unless otherwise agreed in writing.
  • Payments may be structured in phases depending on project scope, as specified in the relevant quotation.
  • Late payment interest will accrue on overdue balances at the prescribed rate under the Prescribed Rate of Interest Act, 1975 (currently 10.25% per annum, effective from 1 March 2026), calculated from the due date.
  • If payment is more than 14 days overdue, GSD Technology may suspend work after issuing 5 business days’ written notice to the client. Work will resume upon receipt of the outstanding balance, accrued interest, and reasonable remobilisation costs.
  • Payment disputes must be raised in writing within 10 days of invoice date. GSD Technology will investigate and respond in writing within 5 business days.

All financial arrangements are handled with transparency and fairness. As the prescribed rate is linked to the South African Reserve Bank repo rate and may change from time to time, the current applicable rate at any given time will be confirmed on request or in the relevant invoice.

8. Warranties and Support

8.1 Workmanship Warranty

GSD Technology warrants that all installation work will be performed in accordance with industry standards, South African engineering codes, and applicable regulations. GSD Technology shall remedy any defects in workmanship at no cost to the client within 12 months of commissioning. This warranty does not limit the client’s statutory rights under the Consumer Protection Act.

8.2 Equipment and Product Warranties

GSD Technology installs tier-one equipment. Product warranties are subject to individual manufacturer terms, which will be provided to the client at handover. Sole reliance on manufacturer warranties does not diminish GSD Technology’s own workmanship obligations under clause 8.1.

8.3 Ongoing Support

Ongoing support and maintenance services may be provided as part of a separate agreement. Our commitment extends beyond installation, with a focus on long-term system reliability.

9. Limitation of Liability

GSD Technology’s liability to the client is limited as follows:

  • This limitation applies to claims arising from breach of contract, negligent performance of services, or any other cause, except as stated below.
  • This limitation does not apply to: (a) liability for death or personal injury caused by GSD Technology’s negligence; (b) liability for fraud or fraudulent misrepresentation; (c) any liability that cannot lawfully be excluded or limited under the Consumer Protection Act or any other applicable South African law.
  • GSD Technology excludes liability for indirect or consequential losses, including loss of revenue, loss of production, or business interruption, provided that such exclusion is reasonable and clearly communicated.

Nothing in these Terms and Conditions is intended to contravene section 48 of the Consumer Protection Act or any other mandatory provision of South African law.

10. Compliance and Regulations

All work is carried out in accordance with applicable South African regulations, standards, and safety requirements, including:

  • South African National Standards (SANS), including SANS 10142 for electrical installations.
  • NRS 097-2-1, the grid interconnection standard for small-scale embedded generation, including the inverter protection and anti-islanding settings required for grid-tied solar installations.
  • NERSA requirements for grid-connected renewable energy systems.
  • Local authority and municipal grid-connection approval processes.

Clients are responsible for informing GSD Technology of any site-specific or operational regulatory requirements not directly related to the installation scope, and for obtaining grid-connection approval where the relevant authority requires the client’s direct involvement.

11. Intellectual Property

All designs, proposals, and technical documentation provided by GSD Technology remain the intellectual property of GSD Technology unless otherwise agreed in writing.

The client receives a non-exclusive, non-transferable licence to use the designs solely for the operation and maintenance of the installed system. The client may not reproduce, modify, or distribute GSD Technology’s designs or documentation without prior written consent.

12. Website Use

By using this website, you agree to:

  • Use the website for lawful purposes only.
  • Not attempt to compromise website security or functionality.
  • Not copy, scrape, or replicate content without prior written permission.
  • Not use automated tools to access or extract data from the website.

GSD Technology reserves the right to update or modify website content without prior notice.

13. Termination

GSD Technology reserves the right to suspend or terminate services in the following circumstances:

  • Material breach of agreement by the client.
  • Non-payment in accordance with clause 7.
  • Unsafe or non-compliant site conditions that present a risk to personnel or equipment.

Except in the case of an immediate safety emergency, GSD Technology will provide 10 business days’ written notice before suspension or termination, during which the client has the opportunity to remedy the breach. “Material breach” means a failure by the client that substantially deprives GSD Technology of the benefit it was entitled to expect under the agreement. “Unsafe conditions” means conditions on site that present a risk of injury to personnel or damage to equipment that cannot be mitigated by reasonable precautions.

Termination does not affect any rights or obligations that have accrued prior to the termination date.

14. Dispute Resolution

GSD Technology is committed to resolving disputes efficiently and fairly. Before commencing legal proceedings, either party must:

  • Send a written notice of dispute to the other party’s registered contact address, setting out the nature of the dispute and the remedy sought.
  • Allow 30 days for good-faith negotiation to resolve the matter.
  • If the dispute is not resolved within 30 days, either party may propose mediation through an accredited mediator. Mediation costs will be shared equally unless otherwise agreed.
  • If mediation fails or is declined, either party may refer the matter to the South African courts under clause 15.

Privacy-related disputes may also be escalated to the Information Regulator of South Africa.

15. Governing Law

These Terms and Conditions are governed by the laws of South Africa. Any disputes arising that are not resolved under clause 14 will be subject to the jurisdiction of South African courts.

16. Force Majeure

GSD Technology will not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to load shedding, acts of God, civil unrest, supply chain disruptions, or government restrictions. GSD Technology will notify the client promptly of any force majeure event and will resume performance as soon as reasonably practicable.

17. Confidentiality

Each party agrees to keep confidential any technical, financial, or operational information disclosed by the other party in the course of an engagement, and not to disclose such information to third parties without prior written consent, except where disclosure is required by law or by a regulatory authority. This obligation survives termination of the agreement for a period of three years.

18. Updates to These Terms

These Terms and Conditions may be updated periodically to reflect changes in services, regulations, or operational practices. The latest version will always be available on our website. Continued use of our services following publication of an updated version constitutes acceptance of the revised terms.
